Satisfaction Guarantee
This is probably not a point you expect to find in the fine print. We are confident enough to genuinely believe that what we deliver provides you with value. Therefore, we operate with a satisfaction guarantee. We can terminate our work immediately at any time and will then only bill for the time spent. There is no fixed term, lock-in, or reason to work together if it doesn't work for both parties.
The assistance shall be provided by the named consultants as agreed upon. Frei has the opportunity to replace its consultants with others after written consent from the Client. Frei also has the opportunity to transfer this agreement between companies within its group. In this context, a group means businesses that control or are controlled by Frei.
The assignment shall not prevent the Consultant from taking on assignments for others during the Agreement period. However, the Consultant may not undertake assignments, employment, duties, or other engagements that may conflict with the Client's assignment.
Duration
The start and expected completion are indicated in the offer document sent directly from HubSpot. The assignment may be mutually terminated with four weeks' written notice. Neither party shall be liable for the other party's costs or loss of income associated with such termination outside breach conditions.
The client is entitled to all results from the Assignment as long as they have been paid for, regardless of the reason if the Assignment is terminated by one of the Parties before completion. Beyond this, Frei is not entitled to any compensation or payment.
Payment Terms
Compensation and payment terms for the Assignment are indicated directly in the offer document sent from HubSpot. The scope can be expanded after a written agreement between the Parties.
The Client shall provide invoice information at the start, and invoices will be issued as EHF.
Breach of Contract
In case of breach of this Consulting Agreement, each party may claim compensation for their direct financial loss by general compensation legal principles. Before a compensation claim is possibly made, the party who has breached the agreement shall be given a reasonable opportunity to rectify the situation to the extent possible.
Confidentiality
The parties are obligated to maintain confidentiality during and after the assignment period regarding confidential information about the other party received in connection with the project. In this context, 'unauthorised persons' also include other employees of the Parties who do not need the information for their work.
The parties shall ensure that material and information covered by the confidentiality obligation are stored securely and inaccessible to unauthorised persons.
Upon completing the assignment, the Client may require the other Party to return all documents and other materials regarding the assignment that have been procured and owned by the Client.
Intellectual Property Rights
All intellectual property rights related to the Consultant's work for the Client shall belong to the Client free of charge. The Client may thus freely dispose of the result, including using it further in its operations.
Force Majeure
The parties shall not be held responsible for failing to fulfil contractual obligations to the extent that it is proven that the failure is due to an obstacle beyond the parties' control, which they could not reasonably have been expected to take into account at the time of the agreement or to avoid or overcome the effects of ("Force Majeure").
Dispute Resolution and Governing Law
The agreement is subject to Norwegian law.
Any dispute between the Parties concerning the Agreement that cannot be resolved amicably shall be referred to ordinary court proceedings with Hordaland District Court, Bergen, as the agreed legal venue
